Standard charters and other amendments simplifying state registration of legal entities

On 29 June 2015 President of the Russian Federation signed Federal law No. 209-FZ “On introducing amendments in specific legislative acts of the Russian Federation in the part of establishing possibility to use standard charters by legal entities” (hereinafter – the “Law”), which  modifies a range of current statutory acts.

(1) Civil code of the Russian Federation (Civil Code) is subject to following amendments:

  • legal entities may operate under standard charters which shall be adopted and amended by authorized governmental body by adoption of the legal act;
  • standard charter will not contain data on company name, location and charter capital amount of the legal entity (said information will only be entered into the State register of legal entities – “EGRUL”).
