Op/Ed: The Truth about Costs of the LA County Drug Take-Back Ordinance

The Los Angeles County Board of Supervisors is considering an ordinance that would require pharmaceutical companies to operate and fund a program to collect and safely dispose of unwanted prescription and over-the-counter medications.  This program is similar to a program enacted in Alameda County, which the pharmaceutical lobby (“PhRMA”) challenged unsuccessfully up to the United States Supreme Court.

Providing facilities to collect and destroy unwanted medications has important health, safety and environmental benefits: protecting the elderly from drugs they no longer need, protecting youth from using and trafficking in dangerous prescription drugs, and keeping chemicals out of our wastewater and landfill.  Even though PhRMA opposed the ordinance in Alameda County, during the litigation they represented to the court that they did not dispute the health, safety and environmental benefits of the ordinance.

Watch Out: Increasing Scrutiny by the SEC of your Dealings with Regulators

I. The SEC Enforcement Trend

There has been an emerging enforcement trend by the U.S. Securities and Exchange Commission (“SEC”) focusing on public companies’ omissions of key feedback received from regulatory agencies and statements inconsistent with that feedback in the companies’ public filings and corporate communications. This has resulted in corporate defendants being required to disgorge illegal gains plus interest and pay millions of dollars of civil penalties, and in some cases, top executives being permanently barred from senior positions at public companies. In light of these recent SEC enforcement actions, it would be prudent for public companies operating in regulated industries, such as life science, medical device and clean-tech companies, to take special care in assessing how to share a regulatory update with investors and avoid making misleading public statements concerning their dealings with regulators.

Shartsis Friese Represents Sunstone in $560 Million Sale of Times Square Hotel

Sunstone Hotel Investors Inc. tapped David Egdal of Shartsis Friese as seller’s counsel in the sale of the DoubleTree Guest Suites Times Square in New York City to Maefield Development for $540 million in a deal announced on December 18.

According to Sunstone CEO John Arabia in the company’s press release about the deal, “Consistent with our business plan to selectively dispose of assets, this transaction unlocks meaningful shareholder value by monetizing an asset with substantial long-term redevelopment opportunities at a price above our internal valuation. Furthermore, this transaction improves our near-term comparable property-level growth prospects, enhances our already strong balance sheet, provides meaningful liquidity, reduces our ground lease exposure, eliminates a near-term debt maturity, reduces our near-term renovation expenditures, and renovation-related earnings disruption and results in a meaningful distribution to our common stockholders.”
