DAVIS MALM HOSTS PROGRAM BY REV. DR. RAY HAMMOND AND BOSTON POLICE COMMISSIONER EDWARD DAVIS

Davis, Malm & D’Agostine, P.C. recently hosted a breakfast program at its office featuring Rev. Dr. Ray Hammond with guest speaker Boston Police Commissioner Edward Davis. Community leaders attended this program, which focused on the 25-year mission of Rev. Dr. Hammond and his wife, Rev. Dr. Gloria White-Hammond, to improve the lives of high and proven risk youth in the City of Boston. The program was moderated by Davis Malm partner George A. “Tony” Hewett and included remarks by Jamie Bush of Bush & Company. In response to growing gang violence, The Hammonds started Bethel AME Church in 1988 as a church community with the goal of addressing the issues through community involvement. By collaborating with the public school system, courts and prisons, local business communities, and law enforcement, Bethel AME has developed successful partnerships to help educate high risk youth and prepare them to lead healthy, productive lives.

Health Insurance Alert for All Employers, Even Those That Do Not Offer Health Insurance

Important deadlines and requirements under the Affordable Care Act (ACA) and other statutes are just around the corner for U.S. employers, including small employers not required to sponsor health insurance. Here is a quick summary, with a special focus on Massachusetts employers:

SEPTEMBER 30: DEADLINE FOR ALL EMPLOYERSTO PROVIDE A NEW EMPLOYEE NOTICE
September 30, 2013 is the deadline to provide a new notice to current employees (including parttimers). New employees must receive it within 14 days of starting work. Every employer covered by federal wage and hours laws must comply. That includes virtually all U.S. employers, with minor exceptions.

Davis Malm proudly received the Massachusetts Bar Foundation 2013 President’s Award on September 26 at the Eastern Massachusetts grantee reception held at the Massachusetts Bar Association in Boston. This distinct honor is given annually by the Board of Trustees to individuals and organizations who have demonstrated exemplary service to the Massachusetts Bar Foundation and the legal community by increasing access of legal services for low-income citizens of the Commonwealth. Davis Malm has been a generous and longstanding Foundation supporter and was the first firm to sign on to the program launched in 2010 encouraging law firms to become involved with the Foundation and its mission.

Section 5 of the Act makes it unlawful to offer or sell securities (subject to certain exemptions) unless a registration statement has been declared effective by the SEC.

SAM MAWN-MAHLAU SERVES ON BOARD OF ODYSSEY OPERA

Davis Malm shareholder Sam A. Mawn-Mahlau has been appointed to serve on the board of the recently formed Odyssey Opera, a Boston-based opera company dedicated to presenting adventurous and eclectic repertoire. Mr. Mawn-Mahlau has been a longtime supporter of the arts and has served on the board of trustees of the Boston Modern Orchestra Project since 1997. Davis Malm incorporated Odyssey Opera as a nonprofit corporation on a pro bono basis.

Key Tax Ruling for Same-Sex Marriage: What This Means for Employers

The federal agencies promised more guidance on same-sex marriage issues after the United States Supreme Court struck down the Defense of Marriage Act. On August 29, the IRS provided three key answers:

1. Marriage will be determined by the law of the state where a marriage is initially established, not by the law of the state where a person resides or works.
2. Civil unions will not be considered as marriages.
3. Persons in same sex-marriages have the right to file amended tax returns for open years to obtain all the tax benefits of marriage.

WILLIAM F. GRIFFIN AND ANDREW D. MYERS TO SERVE AS FACULTY MEMBERS AT MCLE’S SEC UPDATE 2013 PROGRAM

On September 12, William F. Griffin, Jr. will serve as chair and Andrew D. Myers will serve as a faculty member at the Massachusetts Continuing Legal Education’s program, “SEC Update 2013: The JOBS Act one year later – and the latest SEC rulemaking.”

Mr. Griffin will provide an overview of the JOBS Act, including the SEC’s progress in adopting regulations to implement the changes mandated by various titles of the act. The focus of Mr. Myers’ presentation will be the recent amendments to Rule 506, which now permits general solicitation and advertising for fundraising, provided that certain conditions are met. He will also discuss the disqualification of Rule 506 offerings under new “bad actor” rules, and the SEC’s new proposed rules to amend Rule 506 to mandate new filing requirements.
