Veto rights in contracts: can they be exercised freely?

Parties to commercial contracts generally assume that the express written terms of a contact will be given effect relatively strictly under English law.

However, recent court decisions illustrate the courts’ willingness to look beyond the written terms of contracts and to imply unwritten terms in order to give effect to what they consider to have been the parties’ intentions.

In one recent case, the High Court decided that a clause in a share option agreement – which stated that the option could only be exercised with the consent of the board of directors of the granting company – did not give the board an unequivocal veto.

Latvia: New restrictions in the Commercial Law with respect to the transactions with related parties

Internet magazine ITiesības in its 22 August 2017 issue published an article by TGS Baltic lawyer Reinis Grunte on the new restrictions to the Commercial Law with respect to the transactions with related parties.

Amendments to the Commercial Law, which came into force on 13 July 2017, prescribe for essential changes to the transactions with related parties. The new amendments are meant for strengthening the protection of minority shareholders, as well as ensuring transparency in the conclusion of transactions by companies.

Ny markedsmisbrugs-forordning ændrer reguleringen af børsnoterede selskaber

Med den nye markedsmisbrugsforordning vil flere selskaber blive omfattet af reglerne om markedsmisbrug, og der kommer nye regler for bl.a. insiderhandel, oplysningspligt, kursmanipulation, interne regler m.m.

Fra den 3. juli 2016 gælder forordning 596/2014 af 16. april 2016 om markedsmisbrug også kaldt markedsmisbrugsforordningen. Der er tale om markante ændringer i de danske børsregler, og det er derfor centralt for børsnoterede virksomheder samt investorerne at være forberedt til disse ændringer.

Ettevaatust – uued pettused kaubandusturul!

Prantsuse tuntud supermarketite kett Intermarché kaotas hiljuti 15 miljonit eurot kaubandusturul tegutsevatele kelmidele.

Intermarché Pariisi peakontori töötaja kandis Poolas asuvasse panka mitme järjestikkuse päeva jooksul miljoneid eurosid pärast seda, kui oli saanud vastavasisulise ülimalt diskreetse korralduse e-posti vahendusel Intermarché „juhatajalt“. Selleks hetkeks kui ettevõte tekkinud olukorrale jälile sai, olid petturid pangkonto juba tühjaks teinud.

Paraku ei ole tegemist esimese sellelaadse kuriteoga Prantsusmaal – viimaste aastate jooksul on ca 700 suurema ettevõtte finantsosakonnad sattunud sarnaste skeemide ohvriteks. Kindluse mõttes oleks otstarbekas ka Teil teavitada oma finantsosakonna töötajaid Intermarché juhtumist vältimaks sarnast olukorda!
