Connolly Gallagher attorneys Brandon Harper, Chuck Durante and Josiah Wolcott teamed up to present at the 2021 Delaware State Bar Association’s Fundamentals of Lawyer-Client Relations seminar on Wednesday, March 10th. Chuck Durante, vice president at large of the Bar Association, spoke about “The Delaware Way” which he describes as “a commitment to listen even while advocating, to avoid turning argument into insult, to seek points for discussion, to respect the counter-party, to be willing to concede some things for overall gain, to recognize that the long view requires looking past the moment’s stresses and hostilities, whether our own or our clients’.” Josiah Wolcott covered the important topic of “Working with a Difficult Client”, and Brandon Harper moderated the day-long seminar.

Connolly Gallagher is pleased to announce that Shaun Michael Kelly has re-joined the firm as a partner in the Delaware Business, Commercial, and Corporate Litigation group. He joins us from the Delaware Department of Justice where he most recently served as the Director of Consumer Protection and previously worked as a Deputy Attorney General in the Fraud and Consumer Protection Division’s Consumer Protection Unit (“CPU”). Shaun began his career as an associate at a prestigious Delaware law firm, and he worked previously as an attorney in Connolly Gallagher’s Delaware Business, Commercial, and Corporate Litigation group. Both at Connolly Gallagher and elsewhere, Shaun has advised large and mid-size business clients in a variety corporate and commercial litigation matters. Shaun has litigated a variety of disputes in Delaware’s Court of Chancery, including disputes related to books and records, business divorce, reformation, breach of fiduciary duty, and corporate control. Shaun has also litigated a number of disputes in the Delaware Superior Court’s Complex Commercial Litigation Division (“CCLD”), including complex contractual disputes.

On August 6, 2020, Delaware Governor John C. Carney signed House Bill 334 into law (“Trust Act 2020”). Here are the key provisions of the Trust Act.
Enhancements to statutes regarding nonjudicial settlement agreements and modification with grantor’s consent or nonobjection (12 Del. C. §§ 3338 and 3342):
- When a grantor is a party to a nonjudicial settlement agreement under section 3338, or when a trust is modified with a grantor’s consent/nonobjection under section 3342, then:
- the beneficiaries needing to consent are all of the trust’s beneficiaries (tracking federal tax law); and
- the grantor can’t virtually represent anyone else (unless the grantor certifies in writing that the trust is an incomplete gift for federal gift tax purposes)
