Binding force and legal effects of shareholders’ agreements

Peltonen LMR’s Partner Ari Savela has published an article titled ”Binding force and legal effects of shareholders’ agreements” (”Osakassopimusten sitovuus ja oikeusvaikutukset”; the article is in Finnish) in Defensor Legis, law review published by The Finnish Bar Association, volume 4/2013 with focus on company law. The article deals with the contract law and company law effects of shareholders’ agreements. The traditional view has often been that shareholders’ agreement entails effects only for the shareholders, but not for the company. The author argues that in clear-cut cases and when all shareholders are involved, shareholders’ agreements might be given some relevance, e.g., when objecting to decisions of general meetings. More…
