On March 31, 2011, the Centers for Medicare & Medicaid Services, the Department of Health and Human Services’ Office of the Inspector General, the Federal Trade Commission, the Department of Justice, and the Internal Revenue Service released four separate issuances providing the public with the opportunity to comment on the creation of accountable care organizations eligible for participation in the voluntary Medicare Shared Savings Program (“MSSP”). This alert sets forth a listing of each of the places in which the government agencies specifically request comments from the public. Even those organizations that ultimately may decide not to participate in the MSSP should still take advantage of this unique opportunity to provide these agencies with comments and help shape the modifications being proposed to the Medicare program.

Chicago Partners Samuel Levine and Justin Weisberg recently participated in the April 8 Mechanics Liens and Construction Claims seminar conducted by the ISBA’s Special Committee on Construction Law. Samuel coordinated the CLE seminar and also served as a moderator on the topic “Bankruptcy, Mechanics Liens and Construction Issues.” Justin spoke on the topic “Perfecting Mechanics Liens and Bond Claims on Public Projects.” The seminar was held at Northern Illinois University’s College of Law in DeKalb. The program served as a primer fro construction lawyers, real estate practitioners, and general practice attorneys with basic to intermediate practice experience.

Chicago Partner Cynde Hirschtick Munzer was recently selected as co-chair of the Vision 2020 Chicago Host Committee for the 2011 Annual Meeting.
Vision 2020, a national project of the Institute for Women’s Health and Leadership at Drexel University College of Medicine, is focused on advancing gender equality by energizing the dialogue about women and leadership.As a committee member, Ms. Munzer will help welcome the delegates to Chicago, help design and publicize a public event that is part of the annual meeting, and connect/introduce Vision 2020 to the women’s and corporate community.

TARK GRUNTE SUTKIENE acted as legal advisers of KJK Fund SICAV-SIF, Firebird Republics Fund, Ltd. and Firebird Avrora Fund, Ltd. in submitting and implementing an official tender offer to buy up the remaining voting shares in AB Snaigė.
The value of shares acquired during the official tender offer achieved the aggregate amount of EUR 1.436 million (LTL 4.958 million).
TARK GRUNTE SUTKIENE, led by partner Vidmantas Drizga and associate attorney-at-law Mantas Gofmanas, was the offerors’ legal advisers who drafted the circular of the tender offer, as well as all other documents related to the project, represented the offerors before the Securities Commission of the Republic of Lithuania, AB NASDAQ OMX Vilnius, and preformed all other necessary actions concerning the tender offer.

TARK GRUNTE SUTKIENE counselled the intermediary Dom Maklerski BZ WBK S.A. and the adviser Rubicon Partners Dom Maklerski S.A. of the initial public offering of shares in AB Avia Solutions Group (hereinafter, the Company), in offering the newly issued shares of the Company to investors in Poland and admitting the Company’s shares to trading on the regulated market of Poland, i.e. the Warsaw Stock Exchange.
The company’s shares have been successfully placed on and admitted to the Polish regulated market at the beginning of March 2011. As a result, the Company raised the capital of approximately EUR 19 million and the offering and subsequent listing of the shares on the Warsaw Stock Exchange was the first admission of Lithuanian shares to trading on the regulated market of a foreign country.

On 11 April 2011, members of the Estonian Service Industry Association visited TARK GRUNTE SUTKIENE Tallinn office. In addition to presenting key facts about the firm and showing the guests round the premises, the lawyers of TARK GRUNTE SUTKIENE made brief presentations on topics of interest to the members: senior associate Piret Luigaspoke about contracts for the export of services and associate Andreas Veeret outlined the legal requirements for the use of foreign workers in Estonia. Both topics sparked a lively discussion among the audience.
Robert E. McKenzie
Arnstein & Lehr Chicago Partner Robert E. McKenzie was interviewed by First Business News for its April 11 broadcast. During the interview Mr. McKenzie discussed the IRS tax probe of HSBC Bank off-shore accounts in India. According to Mr. McKenzie, the IRS is investigating some offshore account holders for tax evasion.

On 12 April, the Seimas adopted the Law on Appropriation of Land for Public Needs in Implementing National Projects of Particular Importance, worked out by TARK GRUNTE SUTKIENE. The Law simplifies the procedure for appropriation of land for public needs in implementing particularly important national projects in the areas of energy infrastructure, transport infrastructure or national defence. The Law minimises possibilities of abusing the landowner’s rights, appropriation of land may be appealed against only once, and the court may examine the compensation issue after the appropriation of land.
