Law firm TARK GRUNTE SUTKIENE advised Arco Vara on the transfer of its Tivoli development project properties to its subsidiary, Tivoli Arendus OÜ, and on attracting a partner to Tivoli Arendus OÜ. Raising investment to Tivoli Arendus OÜ makes it possible to quickly proceed with the development of the Tivoli project; in the first stage of the project up to 170 apartments will be constructed, and the first ones are expected to be completed in the third quarter of 2012.

The lawyers advising on the transaction were partners Erki Kergandberg and Rolan Jankelevitš and senior associateAndres Siigur.

Lidings supports Turkish Boydak Holding in EUR12 mln factory acquisition from Fabryki Mebli Forte

Leading independent Russian law firm Lidings has further strengthened its Turkish credentials, advising Turkish manufacturer Boydak Holding in its acquisition of a Vladimir furniture factory from Fabryki Mebli Forte SA (Forte SA), Poland.

An initial Memorandum of Understanding for the acquisition of 100 percent of shares (EUR12 million in value) in Forte Rus has been signed in late October 2010. Lidings’ lawyers were responsible for all legal analysis, for structuring the transaction, and for securing all regulatory approvals.

On 17 March, partner Risto Vahimets, head of Baltic M&A at TARK GRUNTE SUTKIENE, participated in the Independent Law Firms Forum arranged annually by the leading legal publication Legal Week in London. The event was well organized and attended by managers and partners of internationally active independent law firms. The forum contained presentations from several in house counsels of global companies, reputable management consultants as well as law firm managers. The topics of discussion included the latest trends in the global legal markets as well as current and relevant law firm management issues.

Cooperation agreement signed

Cooperation agreement with Mykolas Romeris University signed

Mrs. Eugenija Sutkienė, Managing Partner of the law firm TARK GRUNTE SUTKIENE (Lithuania) and Prof. Alvydas Pumputis, Rector of Mykolas Romeris University have signed a cooperation agreement. The agreement provides for general scientific and practical seminars, participation in international projects and programs, student practice in the law firm.

Mykolas Romeris University and TARK GRUNTE SUTKIENE also agreed to provide services to Lithuanian and foreign partners, to cooperate in implementing doctoral studies at the University, i.e. to propose topics for doctoral theses, to advise doctoral students and to accept students for practice.

Special Immigration Alert: USCIS Announces Policy Review on H-1B Cap Exemptions Based on Relation or Affiliation

On March 16, 2011, the U.S. Citizenship and Immigration Services (“USCIS”) announced that it is currently reviewing its policy on H-1B cap exemptions for nonprofit entities that are related to, or affiliated with, an institution of higher learning. Effective immediately, and as an interim measure, the USCIS will approve H-1B nonprofit entity petitions seeking an exemption from the H-1B numerical cap and filing fees based on affiliation with, or relation to, an institution of higher learning as long as the petitioning entity can demonstrate that: (1) it has secured prior approvals for similar petitions since June 6, 2006; and (2) there has been no material change in circumstances. These interim procedures are temporary and will remain in place until the USCIS releases additional guidance.
